Incorporation is usually decided in a single meeting, on the wrong variable: the filing fee. The durable differences are name protection, mobility, and ongoing compliance load, and they only surface when the firm grows into them.
For an Alberta firm eyeing work across Western Canada, the choice deserves an hour of real thought against the five-year plan.
What each route actually provides
Federal incorporation under the CBCA, administered by Corporations Canada, grants the corporate name protection across Canada and the right to carry on business in every province, subject to extra-provincial registration where the firm operates. Provincial incorporation, in Alberta through the provincial registry process, protects the name within the province and keeps governance under provincial rules.
The overlooked symmetry: both routes still require registering in each additional province where the firm carries on business. Federal incorporation does not eliminate extra-provincial registration; it eliminates the risk of the name being unavailable when the firm arrives.
The compliance load over time
Federal corporations file annual returns with Corporations Canada and maintain registers the CBCA requires, alongside any provincial registrations. Provincial corporations carry the provincial equivalents. Neither load is heavy for an organized firm, but every register and return is a small standing obligation, and missed corporate filings can eventually dissolve a corporation administratively.
Tax is largely neutral to the choice: the corporation files federal and provincial corporate tax either way, and CRA program accounts attach to the business number identically.
Deciding from the five-year plan
A trades or service firm that will realistically operate only in Alberta gets simplicity and local familiarity from provincial incorporation. A firm whose plan includes customers, contracts, or entities in other provinces, or whose brand name is central to its value, buys real option value with the federal route and the national name search that precedes it.
Whichever route is chosen, do the name search seriously, decide share structure with advice, and calendar the annual filings from day one. The expensive incorporation mistakes are rarely the route; they are the neglected maintenance.
